Depositary service
JSC Belagroprombank carries out depository activities in accordance with the established correspondent relations with the republican unitary enterprise "Republican Central Securities Depository" and performs the functions of an authorized depository for government securities and securities of the National Bank of the Republic of Belarus.
The depository of JSC Belagroprombank provides the following types of depositary services to legal entities:
- accounting and storage on depo accounts of holders of registered securities;
- depository services for issuers of securities and depositors in accordance with the law;
- formation and printing of the register of holders of securities, the list of persons entitled to participate in the general meeting of shareholders;
- distribution of information to the owners of securities on behalf of the issuer;
- preparation of draft depo instructions for the transfer of securities;
- inter-depository and intra-depository transfers of securities in accordance with the law;
- registration of transactions with securities in accordance with the law;
- other services in accordance with the law.
The fee for the bank's services is set in the amount determined by the Collection of fees (remunerations) for operations carried out by Belagroprombank OJSC.
To conclude an agreement on custody services, a resident legal entity must provide the following documents:
- a written application for opening a depo account in accordance with the form in accordance with the regulations of the depository;
- a copy of the document on state registration of a legal entity, certified by the signature of the head of the legal entity or a person authorized by him and the seal of this legal entity;
- a copy of the charter (regulations) certified by the signature of the head of the legal entity or a person authorized by him and the seal of this legal entity, containing a stamp indicating the state registration of the legal entity. A copy of the charter (regulation) is not submitted by state bodies and organizations, the charter (regulation) of which refers to the regulatory legal acts of the Republic of Belarus;
- a copy of a special permit (license) for the right to carry out professional and exchange activities with securities if the legal entity carries out the said activity, certified by the signature of the head of the legal entity or a person authorized by him and the seal of this legal entity.
A branch (department), other structural subdivision of a legal entity allocated to a separate balance sheet, if the legal entity has the appropriate authority, submits an additional petition of the legal entity signed by the head or another person authorized to act on behalf of this legal entity and the chief accountant of this legal entity and a copy regulations on a branch (department), other separate structural subdivision of a legal entity, certified by the signature of the head of the legal entity or another person authorized to act on behalf of this legal entity.
To conclude an agreement on depositary services, a legal entity - a non-resident of the Republic of Belarus must provide the following documents:
- an application for opening a "depo" account in the form in accordance with the regulations of the depository;
- an extract from the trade register of the country of location of the non-resident legal entity or other equivalent proof of legal status in accordance with the legislation of the country of its location, issued no earlier than three months before the date of filing an application for opening a depo account;
- a copy of the charter or other constituent document of a legal entity - non-resident in accordance with the legislation of the country of its location in the current version;
- a copy of a special permit (license) for carrying out professional and exchange activities with securities (if the legislation of the state where a non-resident legal entity is registered provides for licensing professional and exchange activities with securities) (submitted in case of opening a "depo" account for a legal entity - to a non-resident who is a professional participant in the securities market);
- a list of persons entitled to receive (transfer) documents containing confidential information about depositors, in the form prescribed by law.
Documents from another state submitted to the depository, unless otherwise provided by international treaties of the Republic of Belarus, must be legalized in diplomatic missions or consular offices of the Republic of Belarus or in another manner established by the legislation of the Republic of Belarus, and translated into Russian (Belarusian) language (correct translation or the authenticity of the translator's signature must be certified by a notary or by diplomatic or consular institutions of the Republic of Belarus).
On some issues of depository accounting of shares
In accordance with Decree of the President of the Republic of Belarus dated March 4, 2013 No. 108 “On Certain Issues of Depository Accounting of Shares” (hereinafter referred to as the Decree), additions and amendments were made to Decree of the President of the Republic of Belarus dated April 28, 2006 No. 277 “On Certain Issues of Regulation of the Securities Market” papers”, in terms of accounting for the rights to shares owned by the Republic of Belarus, including the economic jurisdiction of the republican unitary enterprises, or its administrative-territorial units, including the economic jurisdiction of communal unitary enterprises.
According to the Decree, the republican government bodies and other state organizations subordinate to the Government of the Republic of Belarus, local executive and administrative bodies have a three-month period for concluding depository agreements and transferring shares owned by the Republic of Belarus, including the economic management of republican unitary enterprises, and its administrative-territorial units, including the economic management of communal unitary enterprises, to the "depo" accounts in RUE "Republican Central Securities Depository".
